Key Takeaways

  • The vote: Caesars Entertainment shareholders approved a merger with Fertitta Gaming Holdco at a special meeting in Reno.
  • The price: $31 in cash per share, in a deal valued at $17.6 billion, including nearly $12 billion in Caesars debt.
  • The deadline: The deal has until June 26, 2027 to close. After that, shareholders get extra money for each day of delay.

What’s Happening

Caesars Entertainment, one of the two biggest casino operators on the Las Vegas Strip, is set to become a private company owned by Fertitta Gaming. Shareholders voted at a special meeting at the Eldorado Resort & Casino in Reno. About 133.3 million shares voted in favor and about 4.3 million against, with the yes votes equal to about 65% of outstanding shares.

Under the agreement, a Fertitta subsidiary will merge into Caesars, and Caesars will become a wholly owned subsidiary. Each eligible share will be converted into $31 in cash.

What It Means for Las Vegas

Caesars runs a large share of the Strip’s hotel rooms and one of the biggest casino loyalty programs in the country, Caesars Rewards. A change in ownership raises questions every Vegas regular cares about: resort fees, comps, loyalty tiers and which properties get investment. Neither company has announced changes to Caesars Rewards. Until they do, your points and tier status work the same as always.

Casino ownership changes in Nevada typically go through state gaming regulators before closing. The shareholder vote is a major step, but it isn’t the finish line.
